Most founding teams split equity in the first week. It happens over coffee, informally, with good intentions and genuine excitement. Everyone agrees on a number, someone writes it down, and the conversation moves on to the more exciting work of building the product. |
Three years later, one co-founder has stopped contributing. Another has been approached by an acquirer and wants to sell. A new investor wants a board seat. And everyone is looking at that original equity agreement — scribbled on a napkin, or buried in a forgotten email — trying to understand what it actually means for the decisions that now need to be made. |
Equity is not a formality. It is the architecture of your company. And unlike almost every other early decision, it is extremely difficult to undo once it has been made. |

What Equity Actually Is |
When you start a company, you own 100% of it. Every share that gets issued — to a co-founder, an early employee, an angel investor, an accelerator — reduces your percentage of ownership while ideally increasing the total value of the pie everyone shares. |
The percentage you own matters less than most founders think. The percentage you own multiplied by the value of the company is what actually determines your outcome. A founder who owns 20% of a company worth $100 million is in a better position than one who owns 70% of a company worth $5 million. Dilution is not the enemy. Owning too much of something worth too little is. |
But percentage is not the only thing that matters. Control matters. Decision-making power matters. And the terms attached to equity — who can sell, when, to whom, and under what conditions — matter enormously. Equity without understanding those terms is a number on paper that may mean far less than it appears. |
The Founder Split: The First and Most Important Equity Decision |
The conversation about how to divide equity between co-founders is one of the most important a founding team will ever have — and most teams have it in the least rigorous way possible. |
The instinct is to split equally. Two founders, 50-50. Three founders, 33-33-34. It feels fair. It avoids awkwardness. And in the very early days, it often is fair — because nobody knows yet whose contribution will matter most. |
But equal splits, while comfortable to negotiate, can create governance paralysis. Two founders with 50% each have no mechanism for resolving a fundamental disagreement. Neither can outvote the other. The company grinds to a halt at exactly the moment when decisive action is most needed. |
A more deliberate approach asks honest questions before the split is decided. Who came up with the idea and has been working on it longest? Who is leaving a higher-paying job and taking the greater financial risk? Whose skills are most critical to getting the company to its first milestone? Who will lead the company day to day? These questions do not produce a formula. But they produce a conversation that results in a split that reflects reality — and a team that has confronted honest differences before they become resentments. |
Vesting: The Protection Most Founders Skip |
Whatever split you agree on, the single most important protection you can attach to it is a vesting schedule. |
Vesting means that equity is earned over time rather than granted all at once. The standard in venture-backed startups is a four-year vesting schedule with a one-year cliff — meaning that after one year, a quarter of your equity vests, and then the remainder vests monthly over the following three years. |
The reason this matters is simple. People leave. A co-founder who receives 30% of the company on day one and departs six months later should not walk away with 30% of everything built by the people who stayed. A vesting schedule ensures that equity reflects actual contribution over time — not a single conversation held before the work began. |
Vesting also protects the team from each other. It creates a legitimate mechanism for addressing the situation where a co-founder stops pulling their weight — their unvested equity can be reclaimed, reducing the cost of the inevitable difficult conversation. |
If you have already issued equity without vesting, it is not too late to add it — but it requires an honest conversation with your co-founders about why it protects everyone, including them. |
How Investor Equity Works |
Every time you raise money from an investor, you issue new shares. Those new shares dilute every existing shareholder — founders, employees, and previous investors — by reducing everyone's percentage of ownership. |
The key number in any investment conversation is valuation. If an investor puts $500,000 into your company at a $4.5 million pre-money valuation, the post-money valuation is $5 million. The investor now owns 10% of the company. Every existing shareholder owns 10% less than they did before. |
This is not inherently bad. If the investment accelerates the company's growth, the total value of the pie grows faster than any individual piece shrinks. A founder who is diluted from 60% to 54% but whose company doubles in value has come out ahead in every meaningful sense. |
What founders need to watch is not dilution in isolation but the terms that come with it. The most important terms to understand at the early stage are these: |
Valuation cap on a SAFE or convertible note. Many early investments are made through simple agreements — SAFEs or convertible notes — that convert into equity at a future funding round. The valuation cap sets the maximum valuation at which those early investors convert, ensuring they are rewarded for taking the earliest risk. A lower cap means early investors get a better deal at conversion. Understand what you are agreeing to before you sign. |
Pro-rata rights. Some investors negotiate the right to participate in future rounds to maintain their ownership percentage. This is reasonable for early investors who take significant risk — but too many pro-rata rights can complicate future fundraises by reducing the space available for new investors. |
Board seats. Giving an investor a board seat is giving them a vote on the most important decisions your company will ever make — hiring and firing leadership, approving major expenditures, deciding whether to sell the company. Be deliberate about who sits on your board and when. Founder-controlled boards are not a luxury. They are a strategic asset that becomes harder to maintain with every round you raise. |
The Employee Equity Pool |
Before you raise your first institutional round, investors will typically ask you to set aside an option pool — a reserved portion of the company's equity for future employees. The standard is between 10% and 20% of the company, set aside before the investment closes. |
This pool is what you use to attract and retain the people who will build the company with you. Early employees take significant risk by joining a startup — lower salary, less job security, and a bet on something unproven. Equity is the mechanism through which they share in the outcome if that bet pays off. |
The practical rule is to offer enough equity to reflect the risk and contribution of each hire — earlier employees take more risk and should receive more equity — while being deliberate enough to ensure the pool lasts through the hires you actually need to make. |
Running out of option pool mid-hire is a genuine operational problem. Model it carefully before you begin. |
